These terms of service ("Terms") cover your use and access to the Genius Scan service ("Service") provided by The Grizzly Labs SAS ("The Grizzly Labs"). By using the Service, you're agreeing to be bound by these Terms. If you're using the Service for an organization, you're agreeing to be bound by these terms on behalf of that organization , and you represent and warrant that you have the authority to bind the organization to these Terms.
When you use the Service, you provide us with personal data which may include, but is not limited to, Internet server addresses, email addresses, user names, passwords, documents, or other credentials. These Terms don’t give us any rights to your data except for the limited rights that enable us to offer the Service. We never review any customer content, and we’re under no obligation to do so.
We don’t want anyone but you (and those you authorize) to see your data, and we’ll work diligently to make sure this is the case. We’ll use industry standard security practices to keep your data secure. Your data will be stored in encrypted form. Your data will be transmitted to and from your device in encrypted form.
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You’ll use a strong password for Genius Scan. Should anyone else discover or guess your password, your data may become compromised.
Some pieces of data are more sensitive than others. You choose whether or not to store data on Genius Scan at your own discretion.
You won’t store any data in Genius Scan if doing so violates any law.
You will make a reasonable use of Genius Scan, without abusing its functionality or server resources.
Certain features of the Service may be available without creating an account. However, to access advanced features—such as synchronization, secure document storage, or team management—you may be required to create a Genius Scan account. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.
The Service may offer subscription plans that provide additional features and services, including but not limited to document synchronization, sharing, and advanced organizational tools. Subscriptions may be obtained through the Apple App Store, Google Play Store, or through third-party providers that we designate.
Subscriptions via App Stores (Apple, Google):
If you purchase a subscription through the Apple App Store or Google Play Store, the applicable store’s terms and conditions and payment policies will apply. Requests for refunds or cancellations must be directed to the platform from which you purchased the subscription.
Subscriptions via other Third-Party Providers:
If you purchase a subscription through a third-party provider, no direct refunds are offered by The Grizzly Labs. If a license is canceled mid-term, a prorated credit will be applied to your account with that provider, which can be used toward future invoices. Licenses acquired through third-party providers are tied to the email address of the assigned user , as designated by the team owner at the time of purchase. Once assigned, the team owner cannot transfer the license to another user or email address. However, the assigned user may update their own email address, and the license will remain associated with their account.
You may create a “Team” to centrally manage multiple licenses. Team owners (administrators) are responsible for:
When a team owner assigns a license to a team member, that license is tied to the member’s email address and cannot be transferred. If a team owner terminates a team member’s license, the license stops immediately. The team member will lose access to the paid features provided by that license.
If a team subscription or license is canceled mid-term and was obtained through a third-party provider, a prorated credit will be applied to the corresponding account for future invoices, as described above.
To delete a team, the team owner must first terminate all active licenses. After that, the team owner can contact The Grizzly Labs to proceed with team deletion.
When a user’s license—individual or team-based—expires or is terminated, any documents the user has stored in Genius Cloud (i.e., on The Grizzly Labs’ servers) remain accessible to that user for a limited grace period (the length of which may change at The Grizzly Labs’ discretion). During this grace period, the user can still download or delete their documents, but they cannot upload or sync new documents.
After the grace period, the user’s documents stored in Genius Cloud will be permanently deleted. However, any documents the user has already downloaded to their own devices remain fully under their control, regardless of the team owner’s actions. The user will loose access to any document that hasn’t been permanently downloaded to their device.
If a user chooses to delete their account, all of their documents stored in Genius Cloud will be flagged for deletion and subsequently permanently deleted after a reasonable delay. This delay allows for the completion of technical processes related to account and data removal.
Team owners have no control over a user’s locally stored documents. Once a team member’s license is terminated, the user retains any documents they previously downloaded onto their own devices.
Access to the Service requires client software (“Software”) which runs on your device and may update automatically. If any component of the Software is offered under an open source license, we’ll make that license available to you and the provisions of that license may expressly override some of these Terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Service or Software, attempt to do so, or assist anyone in doing so.
The Service and Software are protected by copyright, trademark, and other French and foreign laws. These Terms don’t grant you any right, title or interest in the Service, the Software, others’ content in the Service, The Grizzly Labs trademarks, logos and other brand features. We welcome feedback, but note that we may use comments or suggestions without any obligation to (or permission from) you.
You’re free to stop using the Service at any time. We also reserve the right to suspend or end the Service at any time at our discretion and without notice. We may suspend or terminate your use of the Service if you’re not complying with these Terms, or use the Service in a manner that would cause us legal liability, disrupt the Service, or disrupt others’ use of the Service.
We strive to provide the best possible Service, but there are certain things that we can’t guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, THE GRIZZLY LABS AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICE. THE SERVICE IS PROVIDED “AS IS.” WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE GRIZZLY LABS, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT THE GRIZZLY LABS HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE.
Let’s try to sort it out first. Before filing a claim against The Grizzly Labs, you agree to try to resolve the dispute informally by contacting support@thegrizzlylabs.com. We’ll try to resolve the dispute with you via email or phone. You agree to allow us 15 days from submission of your dispute to resolve it before pursuing a formal legal action.
You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed.
You and The Grizzly Labs agree that any judicial proceeding (other than small claims actions) will be brought in court in France. Both you and The Grizzly Labs consent to venue and personal jurisdiction there.
These Terms will be governed by French law except for its conflicts of laws principles.
These Terms constitute the entire agreement between you and The Grizzly Labs with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or Terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.
The Grizzly Labs' failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. The Grizzly Labs may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Service.
We may revise these Terms occasionally, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, posting on our blog or website). By continuing to use or access the Service after the revisions come into effect, you agree to be bound by the revised Terms.
